These terms and conditions shall be governed by and construed in accordance with the federal laws of the United States of America, and to the extent U.S.A. federal law incorporates or defers to state law, the laws of the State of Minnesota (without regard to the conflict of laws, thereof). Any action or proceeding arising from the use of the Site shall be (insofar as permitted under applicable law) exclusively subject to the jurisdiction of the federal district court in the Fourth District of Minnesota.
